1. Agreement to Terms

By accessing or using Zilla Sales (the “Platform”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Platform.

2. Our Role

The Platform facilitates introductions between manufacturers/clients (“Clients”) and independent sales representatives or rep agencies (“Reps”). Zilla Sales is not a party to any agreement between Clients and Reps, does not employ Reps, and does not guarantee outcomes, revenue, or exclusivity. You are responsible for performing your own diligence and executing your own agreements.

3. Eligibility & Accounts

  • You must be at least 18 and able to enter binding contracts.
  • Provide accurate and current information. You are responsible for activity under your account and for maintaining confidentiality of credentials.
  • We may suspend or terminate accounts for breach, fraud, or abuse.

4. Paid Plans, Billing, and 30-Day Guarantee

  • Fees. Paid plans grant access to contact and outreach functionality. Taxes, payment processor fees, and currency conversion may apply.
  • Renewals. Plans renew automatically unless canceled before the renewal date. Changes to fees apply on your next term.
  • 30-Day Money-Back Guarantee. For first-time paid customers, if you do not receive qualified matches within 30 days of purchase, email support@zillasales.com within that 30-day window for a full refund of the initial term. The guarantee does not apply to renewals, accounts in breach of these Terms, chargebacks, or abuse/fraudulent use.
  • No Success Fees. We do not charge commissions on hires; any terms between Clients and Reps are between those parties.

5. Acceptable Use

  • No false, misleading, or infringing content.
  • No scraping, reverse engineering, or interfering with Platform operation.
  • No harassment, discriminatory conduct, or unlawful activity.
  • No sharing of another party’s confidential information without permission.

6. Client–Rep Relationship

Reps are independent contractors, not employees or agents of Zilla Sales. You are responsible for verifying credentials, compliance (including 1099 classification), and executing agreements directly with the other party. We are not liable for work quality, payments between parties, or disputes.

7. Content and Confidentiality

You retain ownership of content you submit and grant Zilla Sales a non-exclusive license to host, display, and use it to operate the Platform. Do not post information you consider sensitive unless necessary; we treat posted opportunities as non-confidential unless marked confidential and shared only with selected Reps.

8. Intellectual Property

The Platform, trademarks, and materials we provide remain our property. You receive a limited, revocable, non-transferable license to use the Platform for its intended purpose.

9. Disclaimers

The Platform is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific matches, revenue, hiring outcomes, or uptime. Many customers find qualified reps through the Platform, but results vary and are not guaranteed.

10. Limitation of Liability

To the maximum extent permitted by law, Zilla Sales and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Our total liability for any claim is limited to the greater of (a) amounts you paid to us in the 6 months preceding the claim, or (b) $500.

11. Indemnification

You agree to defend, indemnify, and hold harmless Zilla Sales from claims, damages, liabilities, and expenses arising from your use of the Platform, your content, your agreements with Reps/Clients, or your breach of these Terms.

12. Termination

We may suspend or terminate access for any breach or misuse. You may stop using the Platform at any time; fees already paid are non-refundable except under the 30-Day Money-Back Guarantee.

13. Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. The exclusive venue for disputes is the state or federal courts located in Delaware.

14. Changes

We may update these Terms from time to time. Material changes will be posted on this page with a new “Last updated” date. Continued use after changes means you accept the updated Terms.
